benefits of hiring a franchise attorney

Starting a franchise can be a challenging task especially if you don?t have someone to help you understand the legal nuances of a franchise deal. It is important that you understand the terms and conditions mentioned in the franchise agreement to verify whether or not it protects your interests as a franchisee. As there are complex legal documents to comprehend, which define the franchisor- franchisee relationship, it is best to hire the services of franchise lawyers to help you through the process.

Franchise attorneys specialize in the legal aspects involved in a franchise business. Owing to their specialized knowledge of franchise laws, franchise attorneys can offer valuable help to franchise clients regarding various aspects of their business.

The following are some of the benefits of hiring a franchise attorney:

Understanding your franchise document

The franchise document outlines and details your business relationship with your franchisor. It is crucial that you understand what is stated in the franchise document. Franchise lawyers help you understand the terms and conditions of your franchise document, identify loopholes and answer any questions you have regarding your rights and obligations. A franchise attorney will be able to break down any complexities involved in a document such as this, helping you comprehend the legal aspects involved more easily.

A franchise lawyer also helps you negotiate contract terms, such as royalty amount, initial fee, renewal, transferring ownership etc with the franchisor company. He will also communicate your concerns and counter proposals to the franchisor effectively, keeping your best interests at heart.

Getting a franchise permit

You cannot start a franchise without a valid franchise permit. This permit allows you to market goods and services under the name of the franchise company. It gives you the license to use the company?s logo and trademark when marketing these goods. Before you obtain a franchise permit, you should understand the state laws that govern a franchise business. Franchise lawyers help you get a franchise permit that adheres to the state laws.

Assistance with Other Aspects of Your Franchise Business

A franchise lawyer also offers assistance with other legal matters involved in starting your franchise business. Creating a 'corporation?, 'llc (limited liability company)? or 'limited partnership business entity?, negotiating leases and employee contracts ? the lawyer can help you in a number of legal matters pertaining to your business.

It is important that you hire the services of a qualified franchise lawyer. Only a competent lawyer will be able to negotiate favorable contract terms and conditions. Experience also counts- make sure the franchise attorney you hire has ample experience in the field. You can rely on such a lawyer to understand and communicate to you the nitty-gritties of the franchise document efficiently. He will also spot any unusual terms in your franchise document that are not commonly mentioned in franchise agreements and raise the red flag.

Also, ensure that the franchise attorney you hire has a good understanding of the state laws. It is best to approach the American Bar Association for recommendations on franchise lawyers. This way you can be assured of referrals that are credible and competent. --> addthis_pub = 'topsites'; --> -->

Pope mourns Pa. death of Cardinal Bevilacqua (AP)

PHILADELPHIA ? Church leaders called on parishioners Wednesday to pray for the soul of retired Cardinal Anthony Bevilacqua, who led them for more than 15 years but was also an uncharged central figure in a child sex-abuse case that involves the alleged shuffling of predator priests.

Bevilacqua, who was 88, died in his sleep at St. Charles Borromeo Seminary in Wynnewood after battling dementia and an undisclosed form of cancer, according to archdiocese spokeswoman Donna Farrell. He had been the spiritual leader of the 1.5 million-member Archdiocese of Philadelphia from 1988 until his retirement in 2003.

Philadelphia Archbishop Charles Chaput encouraged all Catholics to "join me in praying for the repose of his soul."

"Cardinal Bevilacqua has been called home by God; a servant of the Lord who loved Jesus Christ and His people," Chaput said in a statement.

"Cardinal Bevilacqua's death comes at a time when the Archdiocese is facing extraordinary challenges," Chaput said. "During this difficult period, I invite all of our people to come together in prayer for a renewal of our Church and Her mission."

Bevilacqua, trained in both civil and canon law, was sharply criticized but never charged by two Philadelphia grand juries investigating child sex abuse complaints lodged against dozens of priests in the archdiocese. His death comes just days after lawyers battled in court over his competency as a potential witness in the upcoming trial of a longtime aide.

Bevilacqua, a native of Brooklyn, was ordained a priest in 1949. He had also led the Pittsburgh archdiocese and served as auxiliary bishop of Brooklyn.

As a church leader, Bevilacqua campaigned for a moratorium on the death penalty and often spoke out against homosexuality, birth control and abortion. He headed the influential bishops' Committee on Pro-Life Activities.

In 2002, when the church came under fire for clerical sexual abuse, he called homosexuality an "aberration, a moral evil" and suggested gays were more likely to commit abuse. Under Bevilacqua, the Philadelphia archdiocese tried to weed out gay candidates to the priesthood and expelled any seminarian found to be an active homosexual ? a zero-tolerance policy experts called relatively rare.

He was not averse to new methods of outreach. Heeding the pope's call for a "New Evangelization," Bevilacqua used then-novel methods, such a toll-free confession line, a live weekly radio call-in program and an online forum for people to pose questions to priests.

"We are carrying out the wishes of the Holy Father for a new evangelization, reaching out to people like never before," Bevilacqua said after a telephone hotline began in 1998.

At the same time, attendance at weekly Mass and Catholic school enrollment was falling in some parts of the archdiocese, leading him to close inner-city schools and parishes. The decline continues. The five-county archdiocese just this month announced plans to close 48 schools, displacing nearly 24,000 students.

Bevilacqua, as required, had submitted his retirement to Pope John Paul II when he turned 75 in 1998. But the pope did not accept it at that time, and the cardinal kept up 16-hour days into his late 70s.

"I exercise regularly and my whole work is constant activity of the mind. A lot of reading, meetings, analyses and discussions," he said at age 77. "My life as an archbishop is delightfully hectic."

He made a habit of rising daily at 5 a.m. to pray, lift weights and run several miles on a treadmill at home. "Come 8 o'clock, my day is not my own," he said.

But he settled into retirement after turning 80 in 2003. The first grand jury began its work that year. Bevilacqua's successor, Cardinal Justin Rigali, retired last year after the second grand jury report led to the charges against Monsignor William Lynn and four others, including three priests charged with rape.

Prosecutors said last year that not much had changed since the first investigation, when the "abuse was known, tolerated, and hidden by high church officials, up to and including the Cardinal (Bevilacqua) himself."

Lynn was the first U.S. church official ever charged in the priest-abuse scandal for his administrative actions. His lawyers argue that he took orders from Bevilacqua.

Bevilacqua had been deposed in late November to preserve his testimony, given his age and illnesses. But defense lawyers said he no longer recognized Lynn and could not remember much about his own 10 grueling appearances before the grand jury in 2003 and 2004.

"With the passing of Cardinal Bevilacqua, we will never learn the full truth about clergy sex crimes and cover ups," said Barbara Blaine, president of the Survivors Network of those Abused by Priests.

Pope Benedict XVI expressed "sadness" and sent condolences to the archdiocese in a telegram to Chaput.

"I offer my heartfelt condolences to you and to all the faithful of the archdiocese," the pope wrote. "I join you in commending the late cardinal's soul to God, the Father of mercies, with gratitude for his years of episcopal ministry among Christ's flock in Philadelphia, his longstanding commitment to social justice and the pastoral care of immigrants, and his expert contribution to the revision of the Church's law in the years following Vatican Council II."

Parishioners mourned the loss at services Wednesday, but acknowledged that his legacy would be complicated.

Julia Curcio, 27, who was attending church services at the Cathedral Basilica of Ss. Peter and Paul in Philadelphia, said she mourned his death, but struggled with the way he dealt with the church abuse case and his stance on homosexuality.

"It's hard for me to reconcile the way people like him act," Curcio said. "It's hard not to hold him responsible. You get the sense that he knew what was going on and could have stopped it."

"You can't think of the good things without the bad," she said.

Chris Stoddard, 69, of Wallingford, remembered Bevilacqua as "a great man" who was visible out in the parishes.

"The poor man is gone now and can't really defend himself," Stoddard said, noting that she would say a prayer for him in church. "It's very unfortunate that this may be what he's remembered for."

Anthony Joseph Bevilacqua was born in 1923, in Brooklyn, the ninth of 11 children of Italian immigrants.

He graduated from Cathedral College in 1943, then attended Seminary of the Immaculate Conception in Huntington, N.Y.

He earned a doctoral degree in canon law from Gregorian University, Rome, in 1956, a master's degree in political science from Columbia University in 1962 and a law degree from St. John's University Law School in 1975. While he was admitted to practice law in New York and Pennsylvania, he never argued in a court.

In 1976, he was named chancellor of the Brooklyn Diocese. He was ordained as a bishop in 1980 and made auxiliary bishop of Brooklyn.

He remained chancellor of the diocese and director of its Migration and Refugee Office until 1983, when Pope John Paul II appointed him bishop of the Diocese of Pittsburgh.

Pittsburgh Bishop David A. Zubik, who worked closely with Bevilacqua during his time in Pittsburgh in the 1980s, remembered him as the "bishop from Brooklyn" who quickly became "one of our own."

"What many did not realize was that he was a man of deep compassion, dedicated to serving the poorest of the poor," Zubik said in a statement. "There are many today who are remembering his personal kindness and faithful service - the twin pillars of his priesthood."

Westward, Ho: Romney, GOP rivals now spreading out (AP)

WASHINGTON ? The Republican presidential campaign rolled westward Wednesday, Mitt Romney riding herd after his Florida primary victory, Newt Gingrich looking for a new stake and a top party leader insisting the long trail won't necessarily hurt the GOP in the race against President Barack Obama.

Already the television ads were showing up in states that vote next, caucuses in Nevada on Saturday, in Minnesota and Colorado next Tuesday and in Maine the following weekend.

"I'm feeling like we've got a good pathway ahead," Romney declared in a television interview on the day after his Florida triumph.

He is favored in Nevada, where there are 28 Republican National Convention delegates at stake. And, alone among the contenders, appears to have the money to compete aggressively in all the other states as well.

Gingrich decamped from Florida but with prospects considerably dimmer than Romney's.

He was conceding nothing. Routed on Tuesday night, the former House speaker vowed to stay in the race until the party convention next summer. And his decision not to telephone the primary winner with congratulations drew notice.

"I guess Speaker Gingrich doesn't have our phone number," Romney said.

The Florida campaign was marked by millions of dollars in negative ads, and Gingrich's promise to remain in the race raised the prospect of a months-long struggle. But current House Speaker John Boehner said he was not concerned.,

"I would remind people that President Obama and Secretary of State Hillary Clinton had a fight that went through June of 2008. I think everybody just needs to realize that this will resolve itself," he said.

Jubilant in victory on Tuesday night, Romney was thrown onto the defensive the day after. "I'm not concerned about the very poor" because they have a social safety net, he said on CNN. Criticized quickly, he hastened to clarify.

"No, no, no, no, no, no, no," Romney told reporters on his campaign plane when asked about the comments. He referred back to his complete remarks, in which he had said he would focus on middle-income Americans rather than the very poor, who get government help, or the very rich, who don't need it. "My energy is going to be devoted to helping middle-income people," he said.

By then, though, he was drawing criticism from conservatives who worried he was showing a penchant for verbal gaffes as well as from Obama's campaign manager. "So much for `we're all in this together,'" tweeted Jim Messina.

Gingrich piled on. " I am fed up with politicians in either party dividing Americans against each other," he said.

After making no significant campaign effort in Florida, former Sen. Rick Santorum and Texas Rep. Ron Paul looked for better days in the contests just ahead.

Santorum picked up an endorsement from former Colorado Rep. Tom Tancredo, known for his hardline position on immigration.

Eager to emerge as the leading conservative in the race, Santorum said Gingrich was nearing the end of his run. "If Newt's out of the race, all his votes come to me," he said, mirroring what the former House speaker frequently says about him.

In a speech in Woodland Park, Colo., Santorum said Romney's nomination would doom the party to defeat in the fall.

"Barack Obama, in a debate or in this election, is going to destroy Mitt Romney on the issue of health care," Santorum warned, saying that the former governor supported a requirement for individuals to purchase health care in Massachusetts that is akin to the provision in the legislation that Obama signed into federal law.

Paul, campaigning in Las Vegas, said he favors an immigration policy that doesn't rely on "barbed wire fences and guns on the border." Appearing before an audience of Hispanics, he said he opposes illegal immigration but also is against any effort to round up and deport individuals who are in the United States illegally.

After a month in which four contests produced three winners, Romney appeared to hold formidable advantages in fundraising and organization to go with a lead in national convention delegates. After winning all 50 at stake in Florida, he had 87 in AP's count. Gingrich had 26 delegates, Rick Santorum had 14 and Ron Paul had four. It takes 1,144 to win the nomination.

Reports filed with the Federal Election Commission show Romney's campaign had $20 million on hand as of Jan. 1 and Restore Our Future, an outside group that supports him, had $23.6 million.

The total of $43.6 million dwarfs figures reported by the other contenders and the groups that back them, although the onset of the 2012 caucuses and primaries was certain to have produced changes.

Figures from Florida show Romney and Restore Our Future spent more than $15 million on television ads combined, many of which attacked Gingrich. The former speaker and an organization that backs him spent less than $4 million.

Already, Romney and Restore our Future were airing ads in Nevada, as was Paul.

Paul also was on the air in Minnesota, along with the Red White and Blue Fund, which support Santorum.

Romanian prosecutors probe man who hacked Pentagon (AP)

BUCHAREST, Romania ? Organized crime prosecutors say they are investigating a 20-year-old Romanian suspected of hacking into several Pentagon and NASA servers.

Prosecutors said that Razvan Manole Cernaianu posted confidential data he retrieved from those servers on his blog.

They say Cernaianu, reportedly an IT student, was also offering to sell an application that showed how he accessed the servers.

Prosecutors said in a statement Tuesday they are cooperating with FBI and NASA representatives.

Dems: Fast & Furious just 1 of 4 misguided probes (AP)

WASHINGTON ? Democrats looking into Operation Fast and Furious say a yearlong investigation has turned up no evidence that the flawed gun smuggling probe was conceived or directed by high-level political appointees at Justice Department headquarters.

The probe, the Democrats say, was just one of four such operations that were part of a misguided five-year-long effort, during both the George W. Bush and Obama administrations, in the Phoenix division of the Bureau of Alcohol, Tobacco, Firearms and Explosives against firearms trafficking along the Southwest border.

"Operation Fast and Furious was the latest in a series of fatally flawed operations run by ATF agents in Phoenix and the Arizona U.S. Attorney's Office," the report from Democrats on the House Oversight and Government Reform Committee says.

It is expected to differ sharply with the conclusions of Republicans, who will question Attorney General Eric Holder about Operation Fast and Furious at a hearing Thursday before the committee.

On Tuesday, Sen. Chuck Grassley, the ranking Republican on the Senate Judiciary Committee, said the idea that "senior political appointees have clean hands in these gun-walking scandals doesn't pass the laugh test ... They ignored the warning signs and failed to put a stop to it or hold anyone accountable. Lanny Breuer (assistant attorney general in charge of the criminal division) is a senior political appointee, and he admits to knowing about gun-walking as early as April 2010."

Beginning six years ago, according to the Democrats' report, ATF agents in Phoenix devised a strategy to forgo arrests against low-level straw purchasers of guns while attempting to build bigger cases against higher-level traffickers, a risky tactic known as gun-walking.

"The committee has obtained no evidence indicating that the attorney general authorized gun-walking or that he was aware of such allegations before they became public," said the Democrats' report, "Fatally Flawed: Five Years of Gunwalking in Arizona." "None of the 22 witnesses interviewed by the committee claims to have spoken with the attorney general about the specific tactics employed in Operation Fast and Furious prior to the public controversy."

Rather than halting operations after flaws became evident, the ATF's Phoenix division "launched several similarly reckless operations over the course of several years, also with tragic results," the report said. "Each investigation involved various incarnations of the same activity: Agents were contemporaneously aware of illegal firearms purchases, they did not typically interdict weapons or arrest straw purchasers, and firearms ended up in the hands of criminals on both sides of the border."

Operation Fast and Furious came to light following the December 2010 slaying of U.S. border agent Brian Terry near Nogales, Ariz. Two guns connected to suspects in the Fast and Furious investigation were found at the Terry murder scene.

Operation Fast and Furious was the fourth such ATF gun-walking probe, according to the Democrats' report, which was based on documents collected by the committee.

The first gun-walking probe, said the report, was Operation Wide Receiver, in which ATF agents, for over a year starting in 2006, watched traffickers buying guns from a gun dealer and driving them across the border into Mexico. According to a memo by William Newell, who was in charge of the Phoenix division at the time, one of the suspects told the gun dealer that the "firearms are going to his boss in Tijuana, Mexico, where some are given out as gifts." ATF officials believed they had sufficient evidence to arrest and charge the suspects, but as one agent said at the time, "we want it all," according to an email between two ATF supervisors in Arizona.

A year after Wide Receiver began, ATF initiated attempts to coordinate with Mexican officials. Numerous attempts at cross-border interdiction failed, according to the Democrats' report, with ATF agents expressing concern over the operation.

In a 2007 case, ATF agents targeted Fidel Hernandez and several alleged co-conspirators who purchased over 200 firearms and were believed to be transporting them into Mexico.

William Hoover, then ATF's assistant director of field operations, temporarily halted operations after being informed of several attempts at coordinating with Mexican law enforcement authorities.

The defendants were brought to trial in 2009, but acquitted after prosecutors were unable to obtain the cooperation of the Mexican law enforcement officials who had recovered firearms purchased by Hernandez.

In a 2008 case, ATF agents in Phoenix focused for a year on a network of illicit gun buyers who were purchasing weapons from the same gun dealer who had cooperated in Operation Wide Receiver.

Members of the network, led by Alejandro Medrano, were eventually sentenced to multiyear prison terms for trafficking more than 100 firearms to a Mexican drug cartel.

In Operation Fast and Furious, ATF agents in Phoenix late in 2009 identified a network of more than 20 straw purchasers believed to be trafficking military-grade assault weapons to Mexican drug cartels. Twenty people were charged in the case.

ATF Deputy Director William Hoover became concerned about the number of firearms involved in the case and ordered a strategy for the investigation to be brought to an end. Newell in Phoenix expressed frustration with ATF headquarters in Washington and "the operation continued to grow and expand rather than wind down over the months to follow," the Democrats' report said.

Creator of 'Triple Town' Focuses Legal Lasers on 'Yeti Town' | Touch ...

They say that bad luck comes in threes, and that definitely seems to be the trend in last week's news cycle. First Zynga ripped off Tiny Tower [Free], then Glu fired up their copy machines, and then some similar although unrelated drama hit the land of Triple Town [Free]. Gamasutra is all over this recent story, but I'll provide a quick rundown-

Spry Fox's Triple Town hit the App Store a couple weeks ago and it was clear that we loved it in our review. It's even sort of an interesting take on the free to play model, as you can download and play the game for free and play for a limited number of turns. You can buy more turns with in-game coins which you can earn (and buy with real money) or just download the unlimited turns unlock for (currently) $3.99. If you don't play much, or get bored easily, you might not ever need to buy anything? But once you get to the point where you need unlimited turns, chances are you've gotten way more than four bucks of entertainment out of the game anyway. I like that.

Anyway, according to the Spry Fox blog, they've filed a copyright infringement suit in federal court against 6Waves LOLAPPS due to Yeti Town [Free] which actually beat Triple Town to release by nearly a month. It's the same sad story we hear way too often on the App Store in that Yeti Town relentlessly copies absolutely every aspect of Triple Town.

Per Spry Fox:

Yeti Town, as launched by 6waves, was a nearly perfect copy of Triple Town. We?re not just talking about the game?s basic mechanics here. We?re talking about tons of little details, from the language in the tutorial, to many of our UI elements, to the quantities and prices of every single item in the store (how exactly did 6waves ?independently? decide to price 200 turns for 950 coins, or 4 wildcards for 1500 coins each? That?s quite a coincidence!)

This exact copying is also one of the things that really amused me about all of these Tiny Tower clones which all featured 5 categories of skills, 5 people per apartment, 3 people to a floor, 3 products per floor, 5 elevator upgrades, and other exact copies of core game mechanics. Unfortunately, you can't copyright a game idea, which is why companies like Gameloft are able to do what they do. Yeti Town is different through, as allegedly Spry Fox was in intense negotiations with 6Waves to publish Triple Town on the App Store which abruptly ended when Yeti Town was released.

As part of this, 6Waves had closed beta access months before Triple Town went public and had been "pumping [Spry Fox] for private information" which included design ideas, Facebook launches, as well as revenue and retention figures. This sort of elevates the Yeti Town clone to an entirely different level of shadiness, at least in my eyes.

If you want to read the full text of the lawsuit, you can here. Now, let's all go back to making our own original games, eh?

Space station dodges Chinese satellite debris

The International Space Station fired its thrusters Saturday in order to steer clear of orbital debris from China's 2007 anti-satellite test.

The dodging maneuver was required to avoid space junk from the Chinese satellite Fengyun 1C, which peppered low-Earth orbit with an estimated 3,000 pieces of shrapnel when it was intentionally destroyed by China five years ago. The remaining debris has required several similar avoidance maneuvers by the space station in recent years.

Rocket thrusters on the space station's Russian-built Zvezda service module fired at 6:50 p.m. EST (2350 GMT) in a 1-minute, four-second burn to slightly raise the laboratory's orbit, leaving it on a path that reaches just over 251 miles above Earth at the highest point, NASA officials said in an update.

Saturday's maneuver was "designed to place the station at the correct altitude and trajectory for future visiting vehicle activities and to avoid a repetitive coincidence of possible conjunctions with a piece of Chinese Fengyun 1C satellite debris," NASA officials explained.

A conjunction is what scientists call instances in which space debris will fly close enough to the station to cause concern. Since the space station orbits Earth at about 17,500 mph even a small piece of orbital debris can cause serious damage if it hits. [ Photos: Space Debris & Cleanup Concepts ]

The Fengyun 1C satellite debris had the potential to cause seven conjunctions with the space station, so steering the $100 billion safely into the clear was required, according to an earlier NASA update.

The space station is currently home to a six-man crew that includes three Russians, two Americans and one Dutch astronaut. NASA's Mission Control Center in Houston typically orders a dodging maneuver when debris is expected to fly inside a safety perimeter, which is shaped like a pizza box, that extends about 15 miles around the space station, as well as a half-mile above and below the orbiting lab.

When there is not enough time to plan a dodging maneuver, station astronauts can take shelter inside the Russian Soyuz vehicles that ferry them to and from the station until a piece of space junk has safely zoomed by. The Soyuz capsules, two of which are docked at the station now, each seat three people and can double as lifeboats.

Maneuvers to avoid space junk conjunctions are not uncommon for the space station and other satellites orbiting Earth.? Earlier this month, the space station fired its thrusters to avoid debris from a 2009 satellite crash between an U.S. and Russian spacecraft.

Space junk poses an ongoing threat to astronauts on the space station , as well as other satellites in orbit. To date, there are about 6,000 tons of space junk orbiting Earth ranging from tiny bolts and paint chips to huge spent rocket stages and dead satellites.

More than 500,000 pieces of space junk are currently tracked every day by NASA and the U.S. military's Space Surveillance Network in order to avoid collisions in orbit.

Myanmar says will put stability ahead of economy: report (Reuters)

SINGAPORE (Reuters) ? Myanmar President Thein Sein said his government was committed to political reform and would put the stability of the country ahead of economic development, Singapore's Straits Times newspaper reported on Tuesday.

The president, in Singapore for a three-day official visit that began on Sunday, has overseen dramatic reforms over the past few months, including the freeing of hundreds of political prisoners, a loosening of media controls and engagement with Aung San Suu Kyi, leader of the fight for democracy in Myanmar.

The government has also agreed to ceasefires with several ethnic rebel groups in the past three months and is holding talks with others, some of which have been fighting for autonomy for decades.

"The future of Myanmar lies in peace and stability, while economic development is a secondary priority for the country," Thein Sein said in an interview with the newspaper.

"We are already on the chosen path to democracy and we will continue. We are nurturing the system to have a flourishing democracy in the country," he said.

Thein Sein was part of the junta that stepped aside when a nominally civilian government took office last March. As the country has opened up to the outside world, he and his ministers have started speaking more to the media.

The president indicated interest in developing trade in foreign currencies and stocks as part of Myanmar's economic reforms.

"At the moment we do not have the skills and expertise (in this area) and are seeking technical assistance from international financial institutions," he said.

Japan's Daiwa Securities is advising on how to develop the barely functioning stock exchange it helped set up in Myanmar in the 1990s. South Korean bourse operator Korea Exchange has held talks with the authorities on a separate bourse.
